Alpaca Trader Pro (also marketed as Portfolio for Alpaca). These terms apply to the app and related services from Entropy Flux LLC.

These Terms of Service ("Terms") are a binding legal agreement between you and Entropy Flux LLC ("Entropy Flux," "we," "us," "our") for your access to and use of the Alpaca Trader Pro app and related services (the "Service").
BY ACCESSING OR USING THE SERVICE, YOU AGREE TO THESE TERMS.
IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.
IMPORTANT NOTICE: THESE TERMS REQUIRE BINDING INDIVIDUAL ARBITRATION AND A CLASS ACTION WAIVER (SECTION 13).
The Service is independent software that lets users connect third-party brokerage accounts through user-provided credentials (including Alpaca, if you choose).
Entropy Flux is not Alpaca and is not affiliated with, endorsed by, sponsored by, or acting on behalf of Alpaca.
Alpaca and other third-party names/marks are property of their respective owners.
Entropy Flux is a software provider only. Entropy Flux is not a broker-dealer, investment adviser, exchange, custodian, or wallet provider.
Entropy Flux does not hold customer assets.
Nothing in the Service is investment, legal, tax, accounting, or other professional advice.
No fiduciary duty is created by your use of the Service.
You must be legally capable of contracting and legally permitted to use the Service and connected brokerage products in your jurisdiction.
You are solely responsible for compliance with all laws applicable to you, your account, and your trading activity.
You are solely responsible for account credentials, API keys, device/session security, and all activity through your authenticated sessions and credentials, except where non-waivable law says otherwise.
When you authorize an action/order, you instruct the Service to transmit the corresponding API request.
Once transmitted, orders may be non-reversible, rejected, delayed, partially filled, or unfilled. Execution outcomes may differ from app displays/estimates.
Broker controls, market conditions, open orders, risk checks, and external constraints can alter outcomes.
Entropy Flux does not control routing, execution quality, fills, settlement, or broker decisions.
The Service provides tools/information only and does not recommend any transaction or strategy.
You accept all trading/investment risk, including loss of principal, slippage, spread impact, tax consequences, and losses from rebalancing/automation features.
You alone decide whether any transaction is suitable.
The Service depends on third-party systems (broker APIs, market data, news feeds, networks).
Entropy Flux is not responsible for third-party availability, outages, delays, accuracy, completeness, timeliness, or continuity.
Data/content may be delayed, stale, incomplete, or incorrect.
Your use of third-party services/content is subject to their terms and restrictions.
Some features require payment/subscription via app marketplace billing.
For Apple subscriptions: billing, renewal, cancellation, and refund mechanics are governed by Apple's policies/terms.
Apple is not responsible for Service maintenance/support or claims relating to the Service.
You may not use the Service for unlawful, manipulative, fraudulent, abusive, or unauthorized activity; interfere with security/integrity; or attempt unauthorized access/reverse engineering.
We may suspend or terminate access at any time for risk, abuse, legal, or platform reasons.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND (EXPRESS, IMPLIED, OR STATUTORY), INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, OR SECURITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENTROPY FLUX AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND PROVIDERS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR TRADING/INVESTMENT LOSSES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENTROPY FLUX'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) AMOUNTS YOU PAID TO ENTROPY FLUX IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $100.
You will defend, indemnify, and hold harmless Entropy Flux and related parties from claims, losses, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from or related to: (i) your use of the Service, (ii) your law/rule violations, (iii) your breach of these Terms, or (iv) your violation of third-party rights/terms.
Before filing, each party will attempt informal resolution for 30 days after written notice.
Except small-claims matters and requests for injunctive relief for IP/security misuse, disputes will be resolved by final, binding individual arbitration under the U.S. Federal Arbitration Act and AAA Consumer Rules.
Arbitration will be conducted in Connecticut (or remotely, if permitted by applicable rules and agreed by the parties).
YOU AND ENTROPY FLUX WAIVE ANY RIGHT TO JURY TRIAL AND TO PARTICIPATE IN ANY CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE-ATTORNEY-GENERAL ACTION.
You may opt out of Section 13 within 30 days of first accepting these Terms by sending written notice to [email protected] or by U.S. Mail to Entropy Flux LLC, Greenwich, CT, with your identifying details and explicit opt-out statement.
These Terms are governed by the laws of the State of Connecticut, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs arbitration-related issues.
If Section 13 is found unenforceable for a dispute, exclusive venue is the state or federal courts located in Connecticut (including courts serving Fairfield County), subject to non-waivable law.
To the extent permitted by law, any claim must be filed within one (1) year after the claim arose, or it is permanently barred.
We may modify the Service/Terms at any time. Updated Terms are effective when posted (or as otherwise stated). Continued use means acceptance.
We may suspend/terminate access at any time.
Sections intended by nature to survive termination survive, including risk/disclaimer/liability/indemnity/dispute provisions.
Nothing in these Terms limits rights that cannot be waived under applicable law. Where mandatory law conflicts, mandatory law controls only to that extent.
